SMART FISH shareholders unanimously endorse acquisition plan at 5 June SGM

Smart Fish Wealthlink Holdings Limited announced that the sole resolution tabled at its 5 June 2026 special general meeting (SGM) secured full shareholder support, clearing the way for the previously proposed acquisitions.

The ordinary resolution—seeking approval, confirmation and ratification of the acquisitions outlined in the 12 May 2026 circular—received 68.37 million votes in favour, representing 100.00 % of votes cast. No votes were recorded against the motion, comfortably surpassing the 75 % threshold noted in the announcement.

At the time of the meeting, Smart Fish had 1.23 billion shares in issue, all of which were eligible to vote. No shareholder was required to abstain, and the company held no treasury shares.

Tricor Investor Services Limited acted as the vote-scrutineer. All executive directors—Mr. Chen Changjiong, Mr. Chen Xiaodong, Mr. Yu Qingrui, Mr. Wang Jinsong, Mr. Pang Min Quan and Dr. Foo Seck Chyn—and independent non-executive directors Mr. Chan Ngai Fan, Mr. Wu Ming and Ms. Li Meifeng attended the SGM in person or electronically.

With the resolution now passed, the board is authorized to proceed with the acquisitions and associated transactions as set out in the circular.
