CH XINHUA EDU Schedules 16 Jun 2026 AGM to Endorse FY2025 Results, Board Changes and Capital Mandates

China Xinhua Education Group Limited has issued a notice convening its 2026 annual general meeting for 10:00 a.m. on 16 June 2026, to be held in the Conference Room, 9th Floor, Scientific Research Office Building, Anhui Xinhua University, Hefei.

Key matters to be voted on:

1. FY2025 accounts • Shareholders will consider and adopt the audited consolidated financial statements and directors’ and auditors’ reports for the year ended 31 December 2025.

2. Board composition and remuneration • Re-election of three retiring directors: non-executive director Wu Junbao and independent non-executive directors Jiang Min and Yang Zhanjun. • Authorisation for the board to determine directors’ remuneration.

3. Auditor appointment • Proposed appointment of Rongcheng (Hong Kong) CPA Limited as the new auditor, with authority for the board to fix its remuneration.

4. Capital authorisations • General mandate permitting the board to issue, allot or dispose of additional shares— including any transfer of treasury shares—up to 20% of issued share capital. • Separate mandate to repurchase shares on the Hong Kong Stock Exchange or other recognised bourses, capped at 10% of issued shares. • Conditional extension allowing the issuance limit to be increased by the number of shares actually repurchased under the buy-back mandate, up to an additional 10%.

Administrative details:

• Shareholder register closure: 11–16 June 2026 (both days inclusive). Transfers must be lodged by 4:30 p.m. on 10 June 2026 to qualify for meeting attendance and voting. • Proxy forms must reach Computershare Hong Kong Investor Services by 10:00 a.m. on 14 June 2026. A shareholder may appoint a proxy who need not be a company shareholder. • Holders of any treasury shares are required to abstain from voting at the AGM.

Board composition as at 30 April 2026: one non-executive director (Chairman Wu Junbao), three executive directors (Zhang Ming, Wang Yongkai, Chen Ming) and three independent non-executive directors (Jiang Min, Yang Zhanjun, Yao Heping).
