VGT Calls 29 June 2026 EGM to Seek Fresh Mandates on Audit Re-appointment, Financing, Cash Management and Share Issuance

Victory Giant Technology (HuiZhou) Co., Ltd. (VGT) has scheduled its 2026 Second Extraordinary General Meeting (EGM) for 2:30 p.m. on 29 June 2026 at the company’s R&D Building 1, Hangcheng Technology Park, Huizhou, Guangdong. The share register will be closed from 24–29 June 2026, with 23 June 2026 set as the last day for H-share transfers to qualify for voting rights.

Key resolutions to be tabled:

1. Reappointment of Audit Firm • Shareholders will vote on renewing the company’s external auditor for the 2026 financial year.

2. Financing and Liquidity Management • Approval to secure new comprehensive credit facilities. • Expansion of the quota allowing VGT and its subsidiaries to deploy idle self-owned funds for cash management. • Increase in the aggregate limit for foreign-exchange hedging operations to manage currency risks.

3. Corporate Governance Framework Updates • Amendments proposed for four internal policies: – External Guarantee Policy – Management System of External Investments – Proceeds Management System – Remuneration System for Directors and Senior Management

4. Constitutional and Capital-Market Authorities (Special Resolutions) • Revision of the Articles of Association and related appendices. • Grant of a general mandate to issue new shares, including potential sales or transfers of treasury shares. • Grant of a general mandate to repurchase shares.

Voting Procedure and Logistics • All resolutions will be decided by poll, in line with Hong Kong Listing Rule 13.39(4). • Shareholders may appoint proxies; completed forms must reach Computershare Hong Kong Investor Services by 2:30 p.m. on 28 June 2026. • Eligible shareholders or their proxies must present valid identification at the venue; travel and accommodation expenses are self-funded.

Board Composition The board currently includes Executive Directors Chen Tao (Chairman), Zhao Qixiang, Chen Yong and Wang Haiyan; Non-Executive Director Liu Chunlan; and Independent Non-Executive Directors Xie Lanjun, Xie Lingmin, Zhang Jihai and Wong Ting Chung.
