B&K unveils 10-year Share Award Scheme; first batch of 2.33 million shares earmarked for an employee and a consultant

B&K Corporation Limited plans to launch a new H-share award scheme and will seek shareholder approval at an extraordinary general meeting scheduled for 4 September 2026.

Key features of the proposed scheme • Mandate size: Up to 11.77 million H shares, representing 10% of the company’s 117.66 million issued shares as of the announcement date. • Service-provider cap: 2.35 million H shares, equal to 20% of the overall mandate. • Duration: Valid for 10 years from the adoption date, unless terminated earlier. • Vesting: Minimum 12-month period, with shorter periods possible only under specific circumstances such as “make-whole” grants or disability. • Performance conditions: Vesting is subject to targets set in individual offer letters; failure to meet targets leads to automatic lapse of unvested awards. • Grant and vesting prices: No grant consideration is required; the vesting price may be set at nil. • Claw-back: The board may cancel or reclaim unvested awards in cases such as material financial misstatement, inaccurate performance assessment or regulatory requirements.

Initial conditional grants On 14 August 2026 the board approved the first conditional awards, contingent on shareholder approval of the scheme: • Grantees: one employee and one external consultant focused on global product commercialisation. • Shares granted: 1.16 million H shares each (total 2.33 million), equal to 1.98% of current issued share capital. • Vesting terms: Awards vest 12 months after grant, subject to achieving a minimum performance score of 70/100 under pre-set metrics. • Consideration: Nil; no financial assistance will be provided to grantees.

Post-grant headroom Following the initial awards, 9.44 million H shares remain available under the overall mandate and 1.19 million H shares under the service-provider sublimit.

Next steps Shareholders of record on 4 September 2026 will vote on the adoption of the scheme and related authorisations. Registration for voting closes on 31 August 2026. A detailed circular will be distributed in due course.
