TG Smart Energy (01083.HK) Sets Out ESG Committee Charter; Minimum Three-Member Body to Steer Sustainability Agenda

TG Smart Energy Company Limited (01083.HK) has released the Terms of Reference for its newly defined Environmental, Social and Governance (ESG) Committee, detailing governance structure, scope of authority and key responsibilities aimed at bolstering the Group’s sustainability performance.

The Committee will comprise a minimum of three directors, with a majority drawn from the Board. The Board may appoint its chairman or another director to chair the Committee. A quorum of two members is required for any meeting, and at least one meeting must be held every year, with additional sessions convened as business needs arise.

Mandate and Authority • Purpose: Oversee the Group’s ESG strategy across Health & Safety, Environmental Protection, Employee and Stakeholder Relations, Business Ethics, Corporate Governance, Cyber Security, Data Privacy, Risk Management and Supply Chain Management, while fostering innovation for sustainable growth. • Power: Conduct internal and external materiality assessments, direct employees to cooperate, and engage external legal or professional advisers at the Company’s expense.

Core Duties 1. Formulate and monitor ESG strategies, initiatives, goals, targets and policies. 2. Identify and review ESG-related and climate-related risks and opportunities. 3. Assess ESG performance and recommend enhancements to the Board. 4. Review and evaluate the Company’s ESG Report prior to Board endorsement; a summary of the Committee’s work will be published in the report. 5. Keep the Board updated on emerging ESG issues.

Operational Framework • Membership: Majority directors; senior management and external experts may be invited to attend meetings. • Resources: The Committee is entitled to sufficient resources for effective performance. • Reporting: Decisions and recommendations are to be reported regularly to the Board; meeting minutes will be circulated to all Committee members promptly after each meeting.

The charter, dated March 2026, formalises TG Smart Energy’s ESG oversight mechanism and aligns governance practices with investor expectations for transparency and sustainable development.
