Zhou Hei Ya completes HK$1.00 million share buyback; 19.06 million shares now pending cancellation

Zhou Hei Ya International Holdings Company Limited disclosed that it repurchased 692,000 ordinary shares on 5 May 2026 via the Hong Kong Stock Exchange at prices ranging between HK$1.42 and HK$1.46, for an aggregate consideration of HK$0.997 million.

Including this latest transaction, the company has bought back 23 tranches of shares between 27 March and 5 May 2026 that have not yet been cancelled, totalling 19.06 million shares—about 0.90% of the current issued share capital of 2.11 billion shares. Based on the volume-weighted prices disclosed for each tranche, the cumulative cash outlay for these yet-to-be-cancelled shares is approximately HK$28.92 million, implying an average repurchase price of about HK$1.52 per share.

Despite the ongoing buybacks, Zhou Hei Ya’s issued share count remains unchanged at 2.11 billion shares as of 5 May 2026. All repurchased shares are intended for cancellation.

Under the shareholder mandate granted on 16 May 2025, the company is authorised to repurchase up to 215.97 million shares. To date, 51.95 million shares—representing 2.41% of the shares outstanding on the mandate date—have been repurchased on-market, leaving capacity for further buybacks. In line with Hong Kong listing rules, the company is subject to a moratorium on issuing new shares or selling treasury shares until 4 June 2026 following the latest repurchase.
