CA Cultural Technology Group Limited (01566) and Kyosei-Bank Co., Ltd. issued a joint announcement outlining updates related to the proposed restructuring and continued suspension of trading. The latest extension agreed between the two parties allows the long stop date for the subscription agreements to move to 31 March 2026 or a later date if mutually approved in writing.

According to the announcement, the High Court of Hong Kong sanctioned the creditors’ scheme on 19 March 2024, and it will become effective after all conditions are satisfied, including completion of the relevant subscriptions. The company confirms that share trading on the Stock Exchange has been halted since 21 November 2024 and remains suspended.

In line with resumption guidance under the Listing Rules, the company has concluded its investigation and is finalizing its internal control report. An updated draft report was resubmitted for review on 25 February 2026, and the process of integrating findings into relevant documentation continues. The board is also working on applications for regulatory consent, including a whitewash waiver and special deal approvals. In addition, the publication of outstanding financial results for the year ended 31 March 2025 and the six months ended 30 September 2025 will be included in a forthcoming circular.

The announcement emphasizes that any issue of new shares requires sufficient public float compliance under the Listing Rules. The restructuring remains subject to multiple conditions precedent, and there is no guarantee of completion. The suspension of trading will remain in force until further notice.
