Huanxi Media Group Limited (Huanxi Media) has announced a leadership transition effective 10 August 2026. Mr. Choi Wing Koon will resign as Financial Controller, Company Secretary and authorised representative under Rule 3.05 of the Hong Kong Listing Rules. The Board expressed appreciation for Mr. Choi’s contributions and confirmed that he holds no disagreements with the Board and that no matters need to be brought to shareholders’ attention.
Starting the same day, Ms. Liu Jia and Mr. Lau Fai Lawrence will assume duties as Joint Company Secretaries, with Ms. Liu also taking over as the company’s authorised representative.
• Ms. Liu, currently the Group’s administrative officer-in-charge for its Beijing operations, brings extensive corporate-governance and compliance experience, including prior roles at Beijing Media Corporation Limited and Beijing Youth Daily Agency. • Mr. Lau, a practising Hong Kong certified public accountant, has served as company secretary for BBMG Corporation and HM International Holdings Limited.
Concurrent with these appointments, the Stock Exchange of Hong Kong has granted Huanxi Media a waiver from strict compliance with Listing Rules 3.28 and 8.17 regarding company secretary qualifications. The waiver spans 10 August 2026 to 9 August 2029 and is conditional on: 1. Ms. Liu being assisted by Mr. Lau to accumulate the requisite experience; and 2. Automatic revocation upon any material breach of the Listing Rules.
Before the waiver expires, the company must demonstrate Ms. Liu’s ability to independently fulfil company-secretary duties to avoid the need for further exemption.
The Board has officially welcomed the incoming executives and reiterated its commitment to maintaining robust governance standards during the transition.
