Guolian Minsheng Securities Plans RMB0.06 Cash Dividend, Seeks 20% Issuance Mandate and Adds Stock-Options Market-Making to Business Scope

Guolian Minsheng Securities Company Limited will table 11 resolutions and one review item at its Annual General Meeting (AGM) scheduled for 15 June 2026 in Wuxi, Jiangsu. Key proposals and operating highlights are as follows:

Financial Performance & Dividend • 2025 parent-company net profit reached RMB1.35 billion, after statutory appropriations and other adjustments. • Distributable profit stood at RMB937.11 million. Coupled with RMB3.13 billion of prior-year retained earnings, total undistributed profit was RMB3.75 billion. • The Board recommends a cash dividend of RMB0.60 (tax inclusive) per 10 shares—equivalent to RMB0.06 per share—amounting to RMB340.84 million, or 16.97% of 2025 attributable net profit. • Dividend record date: 26 June 2026; expected payment on or around 28 July 2026. Payments will be in RMB for A-shareholders and in HKD (PBOC central parity conversion) for H-shareholders.

Authorisations & Corporate Actions • Interim Dividend Authority: Board to be empowered to declare interim distributions for FY-2026 when conditions permit. • Auditor Re-appointment: ShineWing Certified Public Accountants LLP and SHINEWING (HK) CPA Limited proposed for FY-2026 audits; total fee unchanged at RMB4.35 million, including RMB0.30 million for internal-control audit. • General Mandate: Special resolution seeks authority to issue up to 20% of existing A and/or H share capital during the mandate period. • Business Scope Expansion: Articles of Association to add “stock options market making” following CSRC approval and licence renewal. • Proprietary Trading Limits for 2026: equity securities and derivatives capped at 80% of net capital; non-equity securities and derivatives capped at 400% of net capital. • Related-Party Transactions: 2026 ordinary related transactions with Wuxi Guolian Development (Group) and other affiliates to be pre-approved; property-leasing expense cap set at RMB90.09 million and related-services expense cap at RMB23.00 million. • Remuneration Framework: New “Remuneration Management System for Directors and Senior Management” replaces the 2023 version; senior executives’ variable pay includes a 40% deferral over three years, with claw-back provisions for misconduct.

Governance & Compliance Updates • The Company abolished its Supervisory Committee, transferring oversight duties to the Board’s Audit Committee in line with the revised PRC Company Law. • All Board committees held 23 meetings in 2025; Directors’ attendance met regulatory requirements. • No material compliance or risk events reported during the year; all major risk indicators remained within regulatory thresholds.

Meeting & Voting Arrangements • AGM date/time: 15 June 2026, 14:00, at No. 8 Jinrong One Street, Wuxi. • H-share register closure: 9 – 15 June 2026 for AGM eligibility; 23 – 26 June 2026 for dividend entitlement. • Voting will be conducted by poll; related shareholders will abstain from voting on connected-transaction resolutions.
