Tianjin-based logistics operator Binhai Teda Logistics (the “Company”) has issued a circular convening its 2026 Annual General Meeting (AGM) for 22 June 2026 in Tianjin.
Key AGM Proposals • Capital authorities – Directors seek: – A 12-month general mandate to issue up to 20% of outstanding H shares (maximum 70.76 million new shares, based on the 353.79 million H shares in issue*). – A parallel mandate to repurchase up to 10% of outstanding H shares (up to 35.38 million shares). Repurchased stock may be cancelled or held as treasury shares. • Board composition – All current directors retire. Eight are standing for re-election; Non-executive Director Li Jian will step down. New non-executive director candidate: Ms Guan Danyi. Each successful nominee will serve a three-year term from 22 June 2026. • Auditor changes – – International auditor Rongcheng (Hong Kong) CPA Ltd to be re-appointed for FY-2026; proposed fee HK$1.18 million. – PRC auditor to change from Zhongxingcai Guanghua (Tianjin branch) to WUYIGE Certified Public Accountants LLP; proposed fee RMB0.55 million. • Articles amendments – Updates align with the revised PRC Company Law and GEM Listing Rules, introduce hybrid and electronic general meetings, and refine corporate governance provisions.

Meeting Logistics Record date for H-shareholders: 15 June 2026 (Hong Kong time). Proxy forms must be lodged with Computershare Hong Kong Investor Services Ltd at least 24 hours before the AGM.
