Tianjin Construction Development Group Co. (TJCD, 02515) has called an extraordinary general meeting (EGM) for 10:00 a.m. on 19 Aug 2026 at its Tianjin headquarters to vote on a raft of corporate governance changes and a new external auditor.

Key proposals: 1. Auditor Change – The Board seeks shareholder approval to appoint Crowe (HK) CPA Limited as auditor for FY2026, replacing KPMG. TJCD said fee negotiations with KPMG broke down, while Crowe’s quotation is 30%–40% lower. The Audit Committee, citing Crowe’s AFRC registration, sector experience and lower cost, recommends the switch. If approved, Crowe’s term will run until the next annual general meeting.

2. Abolition of Supervisory Committee – The Company proposes to dissolve the three-member Supervisory Committee and transfer its statutory oversight duties to the Board’s Audit Committee. Current supervisors Mr Lu Xiaoliang, Mr Wang Lei and Mr Ren Feiyu will cease to hold office upon approval.

3. Amendments to Governance Documents – Corresponding revisions to the Articles of Association and to three governance policies (Rules of Procedure for General Meetings, Rules of Procedure for Board Meetings, and Working System for Independent Non-executive Directors) will be submitted for shareholder approval.

Meeting logistics: • Shareholders recorded on 19 Aug 2026 are eligible to attend and vote. • The register of members will be closed from 14 Aug to 19 Aug 2026; share transfers must be lodged by 4:30 p.m. on 13 Aug 2026. • Proxy forms must be submitted to Tricor Investor Services by 10:00 a.m. on 18 Aug 2026.

The Board recommends shareholders vote in favour of all resolutions and has expressed gratitude to outgoing auditor KPMG for its past service.
