A Delaware judge has directed data analytics firm Verisk to move forward with its planned $2.35 billion acquisition of roofing software manufacturer AccuLynx, more than seven months after Verisk announced it was terminating the deal.
Delaware Chancery Court Judge Bonnie David ruled that Verisk's termination of the agreement was invalid, stating that the company's "deliberate conduct" prevented the fulfillment of closing conditions. In late December, Verisk had cited a notification from the Federal Trade Commission (FTC) as the reason for ending the deal, noting that the agency had not completed its review of the transaction by the December 26 termination date.
AccuLynx had previously informed Verisk that it considered the termination invalid. Verisk strongly contested this claim and stated its intention to "vigorously" defend its position.
Verisk announced its plan to acquire AccuLynx in July 2025, with the deal originally expected to close in the third quarter of that year. In October, the FTC requested additional details about the proposed transaction from both companies, indicating that regulatory scrutiny would be prolonged and delaying the deal's completion.
On Friday, the Delaware judge ruled that AccuLynx is entitled to compensation for direct costs and interest. The transaction remains subject to approval from the FTC.
