CNBM Plans Capital Injection into Sinoma High-Tech

CNBM (03323) has announced a capital increase plan for its associated company, Sinoma High-Tech. On August 14, 2026, Sinoma High-Tech, along with CNBM, its subsidiary Beijing New Building Materials, its parent company's subsidiary Building Materials Research Institute, and another parent company subsidiary Zhonglian Investment, along with other Class B, Class C, and Class D shareholders, entered into a capital increase agreement and a supplementary agreement.

Under the terms of the agreement, the participating Class B, Class C, and Class D shareholders have agreed to increase their investment in Sinoma High-Tech at a price of RMB 10.07 per share. This investment can be made in cash or equity. The total amount of the capital increase is approximately RMB 98.34 million.

Following the completion of this capital increase, Sinoma High-Tech's registered capital will rise from approximately RMB 503 million to approximately RMB 601 million. Sinoma High-Tech will continue to be an associate of CNBM and an indirect non-wholly owned subsidiary of the parent company.

Strategic Alignment

This capital increase is in line with CNBM's "15th Five-Year Plan" development strategy. The target sector is considered high-quality with strong growth potential. The move is also expected to support the stable operation of Sinoma High-Tech by strengthening its financial foundation for future development.
