Nanhua Futures Co., Ltd. (Nanhua Futures) has unveiled a series of senior governance changes effective 27 March 2026.
• Secretary transition – Zhang Xiao has resigned as company secretary after a change in work arrangements. – Cong Lin, a fellow of both The Chartered Governance Institute and The Hong Kong Chartered Governance Institute with more than 15 years of corporate-governance experience, will fill the vacancy as joint company secretary. – Ma Yisheng, currently assistant to the general manager, will serve alongside Cong as the other joint company secretary.
• Exchange waiver granted Because Ma does not yet fulfil the formal professional qualifications required under Hong Kong Listing Rules 3.28 and 8.17, the Stock Exchange has granted Nanhua Futures a three-year waiver through 26 March 2029. The waiver is subject to two conditions: 1) Ma must work with Cong throughout the waiver period. 2) Any material breach of the Listing Rules could lead to early revocation. Before the waiver expires, the company must demonstrate that Ma has acquired sufficient experience to discharge company-secretary duties independently.
• Additional appointments – Ma replaces Dr. Xu Wencai as an authorised representative under Listing Rule 3.05. – Cong succeeds Zhang as the company’s agent for service of process or notices in Hong Kong.
The board expressed gratitude to Zhang Xiao for her contributions and welcomed Cong Lin and Ma Yisheng to their new roles.
