Hong Kong, 1 June 2026 ― CITIC Securities International Capital Management Limited (CSICM), a Class (5) associate of the offeror in the pending privatisation of ENN Energy (listed in the PRC as ENN Natural Gas Co., Ltd.), has disclosed a series of derivative transactions in the target’s A-shares under Rule 22 of the Hong Kong Code on Takeovers and Mergers.
On 29 May 2026 CSICM executed two separate close-outs and two new positions in “other” derivative products linked to ENN Energy A-shares:
• Closed 3,100 reference shares at RMB 19.55 each, settling RMB 0.06 million. • Initiated a new derivative on 3,100 reference shares with a 31 December 2026 maturity at the same reference price of RMB 19.55, committing RMB 0.06 million. • Closed 17,100 reference shares at RMB 19.55 each, settling RMB 0.33 million. • Initiated a new derivative on 17,100 reference shares with a 31 December 2027 maturity at the same reference price, committing RMB 0.33 million.
Following these offsetting actions, CSICM reported a resultant balance of zero in the relevant derivatives, indicating that all economic exposure created by the new contracts is matched by corresponding offsets. All trades were executed for CSICM’s own account and settled in renminbi.
The disclosure forms part of the ongoing oversight process associated with the proposed scheme of arrangement to privatise ENN Energy. CSICM is ultimately owned by CITIC Securities Company Limited.
