51WORLD to Seek 10% Share Buyback and 20% New Issue Mandates at 18 June 2026 AGM

Beijing 51WORLD Digital Twin Technology Co., Ltd. (51WORLD) has issued its circular and notice convening the 2025 Annual General Meeting (AGM) for 10:00 a.m. on 18 June 2026 at the company’s Beijing headquarters. Key resolutions to be tabled include:

1. Capital Management • Repurchase Mandate: The Board asks shareholders for a general mandate to repurchase up to 10% of the company’s issued H shares (maximum 39.49 million shares based on the 394.92 million H shares outstanding as at 26 May 2026). Repurchased shares may be cancelled or held as treasury stock. • Issue Mandate: Management also seeks authority to allot, issue or deal with new H shares and/or convertible securities up to 20% of the total issued share capital, equating to a ceiling of 82.80 million shares. Both mandates will remain effective until the next AGM or earlier revocation.

2. Director Remuneration for 2026 • Independent non-executive directors will each receive an annual allowance of HK$216,000 before tax. • Executive and non-executive directors will continue to be remunerated through their operational roles rather than Board allowances. • Total director remuneration paid for FY 2025 amounted to RMB4.19 million.

3. Auditor Re-appointment • The Board proposes re-appointing KPMG as external auditor for FY 2026, with an audit fee estimated between RMB2.50 million and RMB3.00 million.

4. Routine Matters Shareholders will vote on adoption of the 2025 Annual Report, audited financial statements, the Board’s 2025 work report and the 2025 profit distribution plan.

Key Administrative Dates • Register Closure: 15–18 June 2026 (both days inclusive). • Last date to lodge share transfers: 12 June 2026, 4:30 p.m. (Hong Kong time). • Proxy forms must be submitted by 10:00 a.m. on 17 June 2026.

All AGM resolutions will be decided by poll in compliance with Hong Kong Listing Rules.
