UISEE Technologies Defines Board-Level Strategic Committee Framework to Guide Long-Term Growth

UISEE Technologies (Stock Name: UISEE TECH) has released the Terms of Reference for its newly established Strategic Committee, detailing governance structure, operating procedures and key responsibilities.

The Board-delegated body will comprise at least three directors, with members nominated by the Board chair, a majority of independent non-executive directors or more than one-third of the Board, and formally elected by the full Board. The Board chair will concurrently serve as chairman of the committee, and individual committee tenures will not exceed the respective director’s term.

Meeting protocols require a 14-day notice period—unless unanimously waived—while a quorum is achieved with more than half of members present. Resolutions pass with a simple majority; unanimous written resolutions are also valid. Company secretaries will serve as committee secretaries, and meetings may be held physically or via tele-/video-conference, with full minutes circulated to members promptly after each session.

Key mandates for the Strategic Committee include: 1. Evaluating and advising on UISEE Technologies’ long-term strategic development plans. 2. Reviewing major investment and financing proposals, as well as significant working-capital and asset-management projects that fall within Board approval scope. 3. Assessing other material issues impacting corporate development and monitoring implementation of approved initiatives. 4. Undertaking additional tasks assigned by the Board.

The committee will report to the Board after every meeting and is empowered to seek independent professional advice at the company’s expense, ensuring sufficient resources to fulfill its duties.

The committee’s chairman, or an independent non-executive member in the chairman’s absence, is mandated to attend the company’s annual general meeting to address shareholder queries regarding the committee’s activities.
