China Foods Limited has issued the formal proxy circular for its annual general meeting, which will take place online via the Vistra eVoting Portal at 10:00 a.m. on 9 June 2026.
Key resolutions to be tabled include:
1. Financial Statements and Dividend • Shareholders will vote on adopting the audited consolidated financial statements for the year ended 31 December 2025. • A final cash dividend of RMB0.154 per share for FY2025 is proposed.
2. Board Composition • Election of Mr. Song Liang as Non-Executive Director and Mr. Tang Qiang as Executive Director. • Re-election of Mr. Qing Lijun (Non-Executive), Mr. Li Hung Kwan, Alfred (Independent Non-Executive), and Ms. Leung Ka Lai, Ada (Independent Non-Executive). • The board will seek authorisation to determine directors’ remuneration.
3. Auditor • Re-appointment of Baker Tilly Hong Kong Limited as external auditor, with fees to be set by the board.
4. Capital Management Mandates • General mandate allowing directors to allot, issue and deal in additional shares, including the sale or transfer of treasury shares. • Authority to buy back shares on-market, excluding treasury shares. • Conditional extension of the issuance mandate by an amount equivalent to shares repurchased under the buy-back mandate.
Procedural Notes • The company’s register of members will be closed from 4 June to 9 June 2026, inclusive. Share transfers for voting eligibility must be lodged with Tricor Progressive Limited by 4:30 p.m. on 3 June 2026. • Proxy forms, together with any necessary supporting documents, must reach Tricor Investor Services Limited no later than 48 hours before the meeting.
Shareholders unable to attend virtually may appoint the AGM chairman or another proxy to vote on their behalf via the electronic platform.
