Huisheng Intl to Consolidate Shares 8-for-1 and Lift Board Lot to 10,000; EGM Set for 8 July 2026

Huisheng International Holdings Limited plans to consolidate every eight issued and unissued ordinary shares of HK$0.01 each into one share of HK$0.08, subject to shareholder approval at an extraordinary general meeting on 8 July 2026.

Upon implementation, the authorised capital will remain HK$15.00 million, but issued shares will shrink from 1,107.41 million to 138.43 million. All fractional shares will be aggregated and sold for the company’s benefit.

The board additionally proposes to change the trading board lot from 4,000 existing shares to 10,000 consolidated shares. Based on the 15 June 2026 closing price of HK$0.101 per share, the current HK$404 board-lot value would rise to roughly HK$8,080 after both actions take effect.

Key timetable (Hong Kong time): • Register of members closed 3–8 July 2026; record date 8 July. • Proxy forms due by 11:00 a.m. on 6 July. • EGM convenes 11:00 a.m., 8 July at Unit 3302, 33/F, West Tower, Shun Tak Centre, Sheung Wan. • Subject to approval, consolidation becomes effective 10 July; dealings in consolidated shares commence the same day. • Board-lot change and parallel trading start 24 July; odd-lot matching ends 13 August. • Free exchange of old share certificates for new ones runs from 10 July to 17 August.

The board cites compliance with Listing Rule 13.64 and the HKEX board-lot value guidelines—targeting a post-consolidation lot value comfortably above HK$2,000—as the main rationale. Directors state the move will not alter shareholders’ proportional interests or the group’s financial position aside from minor administrative costs.

Listing approval from the Stock Exchange and shareholder consent are required. Voting will be conducted by poll. Shareholders are advised to exercise caution when dealing in the company’s securities until the process is completed.
