FAR International Holdings Group Company Limited (FAR INTL) has released a proposal to overhaul its existing Memorandum and Articles of Association. The board intends to introduce a second amended and restated version, subject to a special-resolution vote at the annual general meeting scheduled for 7 May 2026.
Key proposed changes include:
1. Meeting format modernisation – explicit authorisation for hybrid and fully electronic general meetings, with electronic voting options.
2. Regulatory alignment – updates to comply with the latest Hong Kong listing rules on electronic dissemination of corporate communications and the new treasury-shares regime.
3. Market infrastructure readiness – provisions preparing the company for Hong Kong’s forthcoming uncertificated securities market.
4. Housekeeping adjustments – consolidation of prior amendments and other consequential changes.
If approved at the AGM, the new Memorandum and Articles will become immediately effective. FAR INTL plans to issue a detailed circular, AGM notice, and proxy form on both the company’s and the Stock Exchange’s websites in due course.
As of the announcement date (9 April 2026), the board consists of four executive directors, two non-executive directors, and three independent non-executive directors.
