PHANCY Schedules 10 September 2026 EGM to Vote on Incentive Scheme Amendments and Limit Refresh

Phancy Group Co., Ltd. (PHANCY) has circulated the proxy form for an extraordinary general meeting (EGM) set for 2:00 p.m. on Thursday, 10 September 2026, at the Conference Room, Level 42, Block A, Longhua Digital Innovation Center, Longhua District, Shenzhen, Guangdong, PRC.

Shareholders will consider three special resolutions:

1. Approval of the “Proposed Amendments and the Amended Scheme,” signalling revisions to the existing share-based incentive plan.

2. Approval of the “Proposed Refreshment and the Refreshed Scheme Limit,” aimed at resetting the maximum number of shares available under the incentive scheme.

3. Granting the Board of Directors and/or the Scheme Administrator authority to manage all matters related to the amended scheme.

Registered holders of both Unlisted Shares and H Shares may appoint the meeting chairman or another designated proxy to vote on their behalf. Proxy forms, together with any supporting powers of attorney, must be lodged with Tricor Investor Services Limited, 17/F, Far East Finance Centre, 16 Harcourt Road, Hong Kong, no later than 24 hours before the scheduled meeting time.

The full text of each resolution is provided in the EGM circular dated 20 August 2026. Completion and return of the proxy form will not preclude shareholders from attending and voting in person at the EGM or any adjourned session.
