Shenghui Cleanness to Vote on 20% Share-Issue Mandate, 10% Buyback and Director Re-elections at 26 June AGM

Shenghui Cleanness Group Holdings Limited will convene its annual general meeting on 26 June 2026 at 11:00 a.m. in Hong Kong. Shareholders will decide on a series of routine yet material resolutions covering financial statements, board composition, auditor re-appointment and capital management authorities.

Key items on the agenda are as follows:

1. FY25 Results Adoption • Shareholders will be asked to receive and adopt the audited financial statements together with the directors’ and independent auditor’s reports for the year ended 31 December 2025.

2. Board Refresh • Executive directors Wei Dongjin and Dong Jiangang seek re-election. • Independent non-executive directors Dr Wang Hui and Cheung Bo Man are also up for re-election. • The board will be authorised to fix directors’ remuneration.

3. Auditor Continuity • Rongcheng (Hong Kong) CPA Limited is proposed for re-appointment as external auditor, with remuneration to be determined by the board.

4. Capital Mandates • General Issue Mandate: Directors may allot and issue new shares—or dispose of treasury shares—up to 20% of the company’s issued share capital (excluding treasury shares) as at the date of the AGM. • Share Buyback Mandate: The company may repurchase up to 10% of its issued shares on the Stock Exchange or other recognised bourses. • Extension Mandate: The share-issue limit can be increased by the amount of shares actually repurchased under the buyback mandate, effectively allowing a potential additional 10% for issuance. • All mandates run until the earlier of the next AGM, the statutory deadline for that meeting, or their prior revocation.

Administrative details confirm that proxies must be lodged at Tricor Investor Services Limited no later than 48 hours before the meeting. As of the notice date, the board comprises four executive and three independent non-executive directors; treasury shares, if any, carry no voting rights.

The AGM will be held at the company’s Hong Kong office (15/F, YF Life Centre, 38 Gloucester Road, Wanchai). The group’s mainland China headquarters are located in Guangzhou’s Panyu District.
