Deewin Tianxia Co., Ltd. (DEEWIN) disclosed that it repurchased 144,000 H-shares on 8 May 2026 through the Hong Kong Stock Exchange.

• Transaction details – Volume: 144,000 shares – Price range: HK$3.16–HK$3.31 per share – Volume-weighted average price: HK$3.29 per share – Aggregate consideration: HK$0.47 million

• Capital structure after repurchase – Issued shares (excluding treasury shares): 552.29 million – Treasury shares: 144,000 – Share capital reduction: 0.026% of the outstanding shares prior to the buyback

• Mandate utilisation – General mandate granted on 29 May 2025 authorises repurchase of up to 55.24 million shares. – Cumulative buybacks under the mandate: 144,000 shares, equivalent to 0.026% of the authorised limit.

• Additional points – All repurchased shares are being held as treasury shares. – A 30-day moratorium restricts the company from issuing new shares or disposing of treasury shares until 7 June 2026.

The company confirmed that the transaction complied with Main Board Rule 10.06 and its filed Explanatory Statement dated 30 April 2025.
