Solargiga Sets 10 June 2026 AGM; Seeks Approval of FY-2025 Accounts, Director Re-elections and 10% Buy-back Mandate

Solargiga Energy Holdings Limited will hold its annual general meeting on 10 June 2026 at 11:00 a.m. in Hong Kong. Shareholders will vote on the following key matters:

1. Financial Statements • Adoption of the audited financial statements, directors’ report and auditors’ report for the year ended 31 December 2025.

2. Board Composition • Re-election of Executive Directors Mr Wang Junze and Mr Chen Hai. • Re-election of Independent Non-Executive Director Dr Wong Wing Kuen, Albert. • Authorisation for the Board or its remuneration committee to determine directors’ remuneration.

3. Auditor Re-appointment • Re-appointment of Ernst & Young as external auditor for the 2026 financial year, with the Board authorised to fix its remuneration.

4. Capital Management Mandates • General mandate permitting the Board to repurchase up to 10% of the company’s issued shares (excluding any treasury shares) as at the date of approval. • General mandate to allot, issue or deal with new shares and/or dispose of treasury shares up to 20% of the issued share capital (excluding treasury shares) as at the date of approval. • Extension of the issuance mandate by adding the number of shares repurchased under the 10% buy-back mandate.

5. Constitutional Update • Special resolution to adopt a third amended and restated memorandum and articles of association, replacing the current version, with authority granted to designated officers to complete all related formalities.

Shareholders may vote in person or appoint proxies by submitting completed forms to the Hong Kong branch share registrar no later than 48 hours before the meeting.
