Perpetual (Asia) Limited, acting as trustee of Landmark REIT, announced on Aug, 04 2026 that it has convened separate meetings for holders of its 140 million Singapore dollars Series 02 (ISIN SG74H8000008) and 120 million Singapore dollars Series 03 (ISIN XS1632471352) perpetual securities issued under its 1.0 billion Singapore dollars Euro Medium Term Securities Programme.
The meetings will take place at Squire Patton Boggs Singapore LLP on Sep, 02 2026, starting at 10:00 a.m. (Series 02) and 10:45 a.m. (Series 03) Singapore time. Securityholders will vote on extraordinary resolutions to replace the Singapore Dollar Swap Offer Rate (SOR) with the Singapore Overnight Rate Average – Overnight Indexed Swap (SORA-OIS) as the reference rate for determining future reset distribution rates and to adopt related fallback provisions.
If approved, the changes will be documented through amended pricing supplements and supplemental trust deeds, and Kroll Issuer Services Limited and Tricor Singapore Pte. Ltd. will be appointed as information and tabulation agents.
Eligible holders who submit valid voting instructions in favour of the resolutions by Aug, 20 2026 will receive an early-bird consent fee of 0.10% of the principal amount voted, while those voting by Aug, 31 2026 will be entitled to 0.05%. Comparable payments are available to ineligible holders subject to regulatory conditions.
The proposal follows the discontinuation of SOR after Jun, 30 2023 and is intended to provide a clear mechanism for determining future distribution rates on the perpetual securities. Implementation is contingent on the passage of both series’ resolutions and satisfaction of stated eligibility and documentation conditions.
