CaoCao Inc. Repurchases 59,800 Shares for HKD 0.71 Million; Total Treasury Stock Rises to 7.42 Million

On 5 October 2026, CaoCao Inc. (HKEX: 02643) disclosed the on-market repurchase of 59,800 ordinary shares, now held as treasury stock. The shares were bought at prices ranging from HKD 11.69 to HKD 12.00, with a volume-weighted average cost of HKD 11.81 per share, bringing total consideration to approximately HKD 0.71 million.

Prior to the transaction, CaoCao had 579.07 million issued shares (excluding treasury shares) and 7.36 million treasury shares. Post-repurchase, outstanding shares decreased marginally to 579.01 million, while treasury holdings increased to 7.42 million. The 59,800 shares acquired represent 0.01033% of the company’s issued share capital (excluding treasury shares) before the buyback. The total issued share count remains unchanged at 586.43 million shares, as the repurchased stock has not been cancelled.

The buyback forms part of a shareholder-approved mandate dated 8 June 2026, which authorises the company to repurchase up to 58.30 million shares. Cumulative repurchases under this mandate now total 6.76 million shares, equivalent to 1.16% of the issued share base at the mandate’s approval date. Under Hong Kong Stock Exchange rules, CaoCao is restricted from issuing new shares or disposing of treasury shares until 4 November 2026.

The board confirms that all repurchase activities complied with Main Board Rule 10.06(4)(a) and related regulatory requirements; all necessary authorisations, filings and settlements have been completed in accordance with applicable laws and listing rules.
