DEEWIN Moves to Update Governance Framework Ahead of 2025 AGM

Deewin Tianxia Co., Ltd. (DEEWIN) announced that its board of directors resolved on 20 April 2026 to upgrade key corporate-governance documents, putting forward amendments to both the Articles of Association and the Rules of Procedures for General Meetings.

The proposed revisions focus on three areas: 1. Adjusting the period for closure of the register of members. 2. Refining dividend-payment arrangements. 3. Optimising voting procedures at shareholder meetings.

Implementation is contingent on shareholder approval at the company’s 2025 annual general meeting. The Articles of Association amendments require a special resolution, while the procedural-rules update needs an ordinary resolution.

DEEWIN plans to distribute a circular detailing all proposed changes, together with the formal AGM notice, in accordance with Hong Kong Listing Rules.

As of the announcement date, the board consists of nine directors: one chairman and non-executive director (Guo Wancai), two executive directors (Zhao Peng, Wang Wenqi), three additional non-executive directors (Tian Qiang, Zhao Chengjun, Feng Min) and three independent non-executive directors (Li Gang, Ip Wing Wai, Yu Qiang).
