Minsheng Education Group Company Limited (Minsheng Edu, 01569) has issued a proxy form outlining the agenda for its annual general meeting (AGM) to be held at 10:00 a.m. on Tuesday, 9 June 2026, in the Huashan Room, 5/F, Island Shangri-La, Pacific Place, Central, Hong Kong.
Key resolutions to be put to vote are as follows:
1. Financial Statements • Adoption of the audited consolidated financial statements and the directors’ and auditor’s reports for the year ended 31 December 2025.
2. Board Composition and Remuneration • Re-election of five directors: – Executive: Zuo Yichen – Non-executive: Xu Wenya and Li Yanping – Independent non-executive: Yu Huangcheng • Authorisation for the board to determine directors’ remuneration.
3. Auditor • Re-appointment of Ernst & Young and authorisation for the board to set the auditor’s remuneration.
4. Share Capital Mandates • General mandate allowing directors to issue, allot or deal with additional shares— including sale or transfer of any treasury shares—of up to 20% of the company’s issued share capital (treasury shares excluded) as at the date of approval. • Mandate to buy back shares not exceeding 10% of the total issued share capital (treasury shares excluded) as at the date of approval. • Extension of the 20% issuance mandate by the number of shares repurchased under the 10% buy-back mandate.
Proxy procedures: Completed proxy forms must be deposited with Computershare Hong Kong Investor Services Limited, 17M Floor, Hopewell Centre, 183 Queen’s Road East, Wanchai, Hong Kong, no later than 10:00 a.m. on Sunday, 7 June 2026—48 hours before the AGM.
Shareholders retain the right to attend and vote in person even after submitting a proxy. A proxy need not be a shareholder of Minsheng Edu.
