CStone Pharmaceuticals (CStone) announced that shareholders approved every item on the agenda at the 23 June 2026 Annual General Meeting (AGM). Voting was conducted by poll, with Computershare Hong Kong Investor Services acting as scrutineer.
Strong Support for Routine Items • The company’s FY 2025 audited financial statements and the directors’ and auditor’s reports were adopted unanimously, receiving 339.49 million votes in favour (100%). • Director remuneration was authorised with 99.95% support, while the mandate to repurchase up to 10% of issued shares passed with 100% approval.
Board Composition Re-affirmed Six directors—one executive, two non-executive and three independent non-executive—were re-elected with approval rates ranging from 98.67% to 100%. Executive Director Dr Jianxin Yang secured 99.58% of votes; Independent Non-Executive Directors Kenneth Howard Jarrett and Fang Xie each received 99.87% support.
Auditor Re-appointment Deloitte Touche Tohmatsu was re-appointed as external auditor, backed by 90.06% of votes cast, and the Board was authorised to fix its remuneration.
Capital Management Mandates Shareholders granted the Board authority to issue up to 20% of existing share capital, supported by 86.45% of votes, and to extend this mandate by an amount equal to shares repurchased (86.75% approval).
CEO Incentive Awards The AGM approved the grant of 7.00 million share options and 4.27 million restricted share units (RSUs) to CEO Dr Jianxin Yang, with 86.94% of votes in favour. Due to Listing Rules, 15.91% of the share base—including holdings of Dr Yang and certain connected shareholders—abstained from voting on this resolution.
Share Capital and Participation • Ordinary shares in issue as of the record date: 1.60 billion • Shares entitled to vote: 1.60 billion, adjusted to 1.60 billion after excluding 3.34 million repurchased shares pending cancellation • Shares required to abstain on Resolution 8 (equity awards): 254.61 million, representing 15.91% of issued shares
All resolutions met the simple-majority threshold and are now effective. The Board attendance included Chairman Dr Wei Li, CEO Dr Jianxin Yang, non-executive directors Kenneth Walton Hitchner III and Edward Hu, and independent non-executive directors Kenneth Howard Jarrett, Fang Xie and Catherine Yen.
