Shandong Hi-Speed New Energy Group Limited (SDHS New Energy) reported that all resolutions tabled at its Annual General Meeting (AGM) on 15 June 2026 were approved by shareholders, with the exception of two items that had been withdrawn in advance.
The AGM, held in Hong Kong, attracted votes representing 1.77 billion shares, equivalent to 78.64% of the company’s 2.25 billion shares in issue. There were no voting restrictions, compulsory abstentions or stated objections ahead of the meeting, and Tricor Investor Services acted as scrutineer.
Key outcomes are as follows:
1. FY2025 financial statements and the reports of directors and auditor were adopted with 100.00% of votes cast in favour (1.77 billion shares).
2. Board composition was reaffirmed: • Mr. Zhu Jianbiao and Mr. Wang Meng were each re-elected with 100.00% support. • Mr. Yang Xiangliang and Mr. Chiu Kung Chik were re-elected with 99.98% support. • Directors’ remuneration will continue to be set by the board following unanimous approval.
3. Ernst & Young was re-appointed as auditor, receiving 99.98% shareholder approval.
4. A general mandate authorising the board to repurchase company shares was renewed with 100.00% support, while proposed mandates to issue new shares and to extend the issue mandate (Resolutions 4 and 6) were withdrawn prior to voting.
All participating directors—except one excused for other business commitments—attended the AGM either in person or via electronic facilities. The company secretary confirmed that each approved item surpassed the requisite 50% threshold, thereby passing as ordinary resolutions.
