AIM Vaccine Co., Ltd. has unveiled revised terms for its proposed private issuance of domestic unlisted shares and a connected subscription by Tibet Bohai Investment Group.
The company now intends to issue not fewer than 40.00 million and not more than 80.00 million domestic unlisted shares at RMB1.07 per share. Based on this range, gross proceeds are expected to fall between RMB42.80 million and RMB85.60 million.
Tibet Bohai, ultimately controlled by executive director and controlling shareholder Yan Zhou, has agreed to subscribe for 37.38 million new domestic shares for RMB40.00 million, representing a back-stop commitment that secures compliance with NEEQ Innovation Tier fundraising requirements. Independent third-party investor Shen Qinhua will take up 4.20 million shares for RMB4.49 million. Up to 33 additional investors may be invited.
Issue proceeds are earmarked 50 % for R&D—split between rabies-series vaccines (≥25 %) and pneumonia plus other pipelines (≤25 %)—and 50 % for working capital, product promotion, production costs and repayment of interest-bearing liabilities.
Post-issuance, total share capital will rise to between 1.27 billion and 1.31 billion shares. Assuming the maximum placement, the proportion of H-share public float will fall marginally from 37.66 % to 37.34 %, while Yan Zhou’s aggregate interest could increase from 32.72 % to 34.64 %.
The revised proposal, Tibet Bohai subscription and waiver of pre-emptive rights will be voted on at an extraordinary general meeting scheduled for 7 September 2026 in Shanghai.
