GW Tiandi Finalises Debt Restructuring; Issues US$506.66 Million New Notes and 30.52 Million Shares

Golden Wheel Tiandi Holdings Company Limited (GW Tiandi) announced that its debt-restructuring scheme became effective on 26 June 2026 after all conditions were satisfied. The completion marks the formal discharge of outstanding claims under the group’s existing debt instruments.

Under the restructuring, creditors received a package of new securities and cash incentives:

• New Notes: The company issued US$506.66 million in principal amount of notes (ISIN: XS3228124189, XS3228121326, XS3228126556). The notes are expected to list on the Singapore Exchange (SGX-ST) on or about 29 June 2026.

• Equity Component: 30.52 million new shares were allotted at an exchange price of approximately HK$24.18 per share, equating to 14.50 % of GW Tiandi’s enlarged share capital.

• Consent Fee: US$0.47 million was paid to participating creditors.

Existing notes (ISIN: XS2468379297; XS2468837260) are being cancelled, and all liabilities under the previous loan documentation have been fully released in line with the scheme.

Residual restructuring consideration has been placed in a holding-period trust. Creditors who have not yet completed the required documentation must do so by 13 November 2026; distributions from the trust are scheduled for 28 December 2026.

GW Tiandi expressed appreciation to its creditors and advisory teams and reminded investors to exercise caution when dealing in the company’s securities.
