Sunho Biologics, Inc. announced the resignation of its incumbent auditor, ZHONGHUI ANDA CPA Limited, effective 5 June 2026, and the Board’s proposal to appoint KTC Partners CPA Limited as the new auditor until the next annual general meeting.

The change follows Zhonghui Anda’s inability to finalise the audit for the year ended 31 December 2025 after requesting additional information on certain service agreements and related upfront payments (the “Matters”). Because the 2025 results remain outstanding, trading in Sunho Biologics’ shares has been suspended since 30 April 2026, and the Hong Kong Stock Exchange has issued resumption guidance requiring prompt publication of all delayed financial statements.

Key details of the proposed appointment: • Audit scope: Completion of the 2025 annual audit. • Audit resources: Approximately 3,000 hours, led by seven partners and supported by more than 30 professionals in Hong Kong and on-the-ground staff in Mainland China. • Proposed fee: RMB2.30 million. • Indicative timetable: Field work from early July to mid-August 2026, draft findings by mid-September, and finalisation of results by end-September 2026.

The Audit Committee cited KTC’s independence, technical competence, Mainland support network, and a clear timetable as reasons for endorsement.

An extraordinary general meeting will be held at 15:00 on 29 June 2026 at the Purple Palace, Nanjing, to seek shareholder approval for: 1) confirming the resignation of Zhonghui Anda; and 2) approving the appointment of KTC Partners.

The register of members will be closed from 24 June to 29 June 2026 for voting eligibility. Shareholders must lodge proxy forms with Computershare Hong Kong Investor Services Limited no later than 48 hours before the meeting.
