TATA Health Seeks 10% Share Buy-Back, 20% Issuance Mandates; AGM Set for 20 May 2026

TATA Health International Holdings Limited has issued a circular convening its Annual General Meeting for 10:00 a.m. on 20 May 2026 at the Ascott Hotel, Shanghai. Key resolutions to be put to shareholders include:

• General mandates – Share repurchase mandate: up to 10% of issued share capital, equivalent to 24.28 million shares based on the current 242.85 million shares outstanding. – Share issuance mandate: up to 20% of issued share capital, or 48.57 million shares, with capacity to resell any treasury shares. – Extension mandate: the issuance limit may be increased by the quantity of shares actually repurchased. The mandates, if approved, remain valid until the next AGM or earlier revocation.

• Board composition – Re-election of retiring directors: Executive Director and CEO Zhang Ming Qi; Independent Non-executive Directors Li Liang and Huang Lin. – All retiring INEDs have reaffirmed independence under Listing Rule 3.13.

• Auditors – Re-appointment of HLB Hodgson Impey Cheng Limited as external auditor.

• Financial statements – Adoption of audited consolidated results for the financial years ended 31 December 2023, 2024 and 2025.

• Administrative details – Shareholders may lodge proxy forms no later than 10:00 a.m. on 18 May 2026. – Register of members closes 15 – 20 May 2026; transfers must be lodged by 4:30 p.m. on 14 May 2026 to qualify for voting rights.

The Board recommends shareholders vote in favour of all resolutions, stating the proposals are in the interests of both the company and its investors.
