Guotai Junan International appoints Altus Capital to advise on Guotai Haitong’s proposed privatisation scheme

Guotai Junan International Holdings Limited (Guotai Junan International) has engaged Altus Capital Limited as Independent Financial Adviser (IFA) for the proposed privatisation by Guotai Haitong Financial Holdings Limited (the Offeror). The engagement, announced on 17 August 2026, follows Rule 2.1 of Hong Kong’s Takeovers Code and relates to the Offeror’s plan to privatise Guotai Junan International via a scheme of arrangement under Section 673 of the Companies Ordinance.

Altus Capital, licensed by the Securities and Futures Commission for Type 4 (advising on securities), Type 6 (advising on corporate finance) and Type 9 (asset management) activities, will advise the Independent Board Committee (IBC). The IBC—established in accordance with Rule 2.8 of the Takeovers Code—comprises non-executive and independent non-executive directors Dr. Fu Tingmei, Professor Chan Ka Keung Ceajer and Mr. Liu Chung Mun. The Board has endorsed Altus Capital’s appointment.

Altus Capital’s advice will be incorporated in the Scheme Document to be dispatched to shareholders, as required by the Takeovers Code and applicable regulations.

The company reiterates that the Proposal remains subject to satisfaction of a pre-condition and subsequent conditions; accordingly, the scheme and related share-option offer may or may not proceed. Shareholders, option holders and potential investors are advised to exercise caution when dealing in Guotai Junan International securities.
