CKH HOLDINGS (00001) has agreed to sell its 49% stake in the UK telecommunications venture Vodafone Three to its partner Vodafone for £4.3 billion in cash. The transaction, announced yesterday, is subject to regulatory approval and is expected to be completed in the second half of the year.
Analysts at Goldman Sachs stated that while the move is not unexpected, the timing of the sale is earlier than anticipated, potentially reflecting Vodafone management's confidence in the UK market outlook. The firm estimates the deal will generate approximately HK$4.7 billion in disposal gains for CKH HOLDINGS.
Assuming the company distributes around 40% of such gains as dividends—consistent with its historical payout ratio—this would imply an increase of HK$0.5 per share relative to the forecasted HK$2.31 dividend for fiscal year 2025.
From a financial impact perspective, Vodafone Three reported a post-tax loss of £49 million for the period from June to December last year. On an annualized basis, this loss amounts to £84 million, or HK$890 million. Goldman Sachs estimates that, excluding this loss and including additional interest income from the £4.3 billion sale proceeds, the transaction would increase CKH HOLDINGS' pro forma earnings by approximately 7%, or HK$2 billion.
The deal is also expected to reduce the net debt-to-total capital ratio from 13.9% at the end of fiscal 2025 to 8.8%. Goldman Sachs does not assign a rating to CKH HOLDINGS.
In addition to the UK telecommunications business sale, media reports suggest that CKH HOLDINGS is considering spinning off or selling its other telecom operations to local major operators.
