C-MER Medical Holdings Limited announced the completion of its Series B investment in Beijing-based CHIGENOVO Co., Ltd. following the satisfaction or waiver of all conditions precedent outlined in earlier agreements dated 20 May 2026 and 30 June 2026. Through its wholly owned subsidiary HK (International) Eye Care, C-MER Medical now holds 996,070 shares—representing approximately 10.23% of CHIGENOVO’s enlarged issued share capital.
The Legally Binding Agreement provides C-MER Medical with perpetual exclusive rights to ophthalmology product ZVS101e in Hong Kong and Macau, effective upon receipt of approvals from the National Medical Products Administration and relevant local authorities. Revenue sharing terms guarantee the Group economics that are at least as favorable as any comparable agreements CHIGENOVO may conclude for ZVS101e. Any disputes under the agreement will be referred to mediation at the Hong Kong International Arbitration Centre.
Despite the equity stake, C-MER Medical will not consolidate CHIGENOVO’s financial results into its accounts, indicating a non-controlling, minority investment structure.
The Board confirmed transaction completion on 10 August 2026, with Vice Chair, Executive Director and CEO Ms. Li Xiaoting signing on behalf of C-MER Medical.
