OURGAME (06899.HK) has announced that on July 27, 2026, it received a letter from The Stock Exchange of Hong Kong Limited (the "HKEX") outlining the conditions for resumption of trading (the "Resumption Guidance").
The company is required to: (a) publish all outstanding financial results as required by the Listing Rules and address any audit modifications; (b) withdraw or have the winding-up petition against the company dismissed and discharge any liquidators; (c) demonstrate compliance with Rule 13.24 of the Listing Rules; (d) conduct an appropriate independent forensic investigation into the matters referred to in the HKEX's resumption guidance letter dated July 27, 2026, assess its impact on the company's business operations and financial position, publish the findings, and take appropriate remedial actions; (e) establish that there are no reasonable regulatory concerns regarding the integrity, competence, and/or character of any person who has a significant influence on the company's management and operations, which could pose a risk to investors and damage market confidence; (f) engage an independent internal control advisor to conduct an independent internal control review and demonstrate that: (i) the material weaknesses identified leading to the suspension have been rectified and all necessary remedial measures are properly implemented; and (ii) the company's internal controls are adequate and effective to achieve their purpose, enabling the company to comply with the Listing Rules and other legal and regulatory requirements, including but not limited to financial reporting procedures and disclosure of inside information; and (g) inform the market of all material information for shareholders and other investors to assess the company's position.
The company's shares will remain suspended from trading.
