Keep Inc. repurchases 100,000 shares; treasury stock climbs to 10.75 million

Keep Inc. (HKEX: 03650) disclosed a further share buyback on 03 July 2026, purchasing 100,000 ordinary shares on the open market and transferring them to treasury stock.

Key details • Transaction size: 100,000 shares, representing 0.0200% of the company’s issued share capital (excluding treasury shares) prior to the repurchase. • Price range: HKD 1.99–2.08 per share, with a volume-weighted average cost of HKD 2.0321. • Cash outlay: HKD 0.20 million.

Post-transaction capital structure (03 July 2026) • Issued shares (excluding treasury): 499.53 million, down from 499.63 million. • Treasury shares: 10.75 million, up from 10.65 million. • Total issued shares (including treasury): unchanged at 510.28 million.

Ongoing cancellation programme In addition to the latest buyback, 3.62 million shares (0.73% of current issued shares) had been repurchased between January and April 2026 for cancellation but had not yet been cancelled as of 03 July 2026. Repurchase prices for these pending cancellations ranged from HKD 2.91 to HKD 3.97 per share.

Utilisation of repurchase mandate The board’s mandate approved on 04 June 2026 authorises the repurchase of up to 50.24 million shares. Including the most recent transaction, Keep Inc. has bought back a cumulative 2.89 million shares under this authority, equivalent to 5.75% of the mandate limit.

Regulatory note Under Hong Kong listing rules, the company is subject to a 30-day moratorium on issuing, selling or transferring shares following the latest repurchase, extending through 02 August 2026.
