SZ Expressway commits RMB800.00 million to Jiangsu Bank structured deposits; SZ International classifies deal as discloseable

Shenzhen Expressway Corporation Limited (SZ Expressway) and its 47.30% shareholder Shenzhen International Holdings Limited (SZ International) jointly announced that SZ Expressway has invested a total of RMB800.00 million in two principal-guaranteed structured deposit products issued by Jiangsu Bank.

Key transaction details • Phase I: On 31 March 2026, SZ Expressway subscribed to “Corporate RMB Structured Deposit 2026-29 (190 Days, Type F)” for RMB400.00 million. The product runs from 1 April 2026 for 190 days with a floating return ranging between 1.00% and 2.35%.

• Phase II: On 17 July 2026, the company invested a further RMB400.00 million in “Corporate RMB Structured Deposit 2026-77 (192 Days, Type M)”, commencing 20 July 2026 for 192 days, offering a tiered return of 1.00%, 1.82% or 2.02%.

Purpose and rationale Management stated that the deposits utilise temporarily idle proceeds from SZ Expressway’s March 2025 A-share placement, which raised approximately RMB4.70 billion. The principal-guaranteed structure and controlled risk profile are expected to enhance fund utilisation efficiency and generate incremental income without affecting the planned deployment of raised funds.

Regulatory classification • Under Hong Kong Listing Rules 14.22 and 14.23(1), the two subscriptions are aggregated because they involve the same bank within a 12-month period.

• For SZ Expressway, each subscription—and their aggregate—falls below the 5% threshold of the applicable percentage ratios, exempting the company from reporting, announcement and shareholder approval requirements under Chapter 14.

• For SZ International, the aggregated consideration exceeds 5% but is below 25% of the relevant ratios, classifying the transaction as a discloseable transaction. SZ International must publish this announcement but does not require shareholder approval.

Counterparty information The deposits were placed with the Shenzhen Science and Technology branch of Bank of Jiangsu Co., Ltd., an entity independent of both SZ International and SZ Expressway.
