Samsonite executes HK$21.69 million share buyback; outstanding shares dip to 1.37 billion

Samsonite Group S.A. disclosed that on 1 June 2026 it repurchased 1.48 million ordinary shares on the Hong Kong Stock Exchange at prices between HK$14.48 and HK$14.80 per share. The volume-weighted average cost was HK$14.70, bringing total cash outflow for the transaction to HK$21.69 million.

Following the buyback: • Issued shares (excluding treasury shares) declined by 0.11% from 1.37174 billion to 1.37026 billion. • Treasury shares increased from 94.51 million to 95.98 million, now representing approximately 6.55% of total issued capital. • Total issued shares remained unchanged at 1.46624 billion.

The repurchase was made under the mandate approved on 3 June 2025, which authorises the company to buy back up to 138.31 million shares. To date, 16.68 million shares—about 1.21% of the outstanding shares at the time the mandate was granted—have been acquired, leaving roughly 121.63 million shares still available for repurchase.

In accordance with Hong Kong listing rules, Samsonite is subject to a moratorium on issuing new shares or disposing of treasury shares until 1 July 2026.
