RoboSense Technology Co., Ltd (RoboSense) reported that it repurchased 215,000 ordinary shares on 22 June 2026 via on-market transactions on the Hong Kong Stock Exchange.
• Transaction details: Shares were bought back within a price range of HK$22.88–HK$23.00, implying a volume-weighted average cost of HK$22.99 per share. Total consideration amounted to HK$4.94 million.
• Capital structure impact: Post-transaction, RoboSense’s issued share capital (excluding treasury shares) decreased to 471.99 million shares, down 0.05% from the previous balance. Treasury shares increased to 12.48 million, while the company’s aggregate issued shares (including treasury stock) remained unchanged at 484.47 million.
• Repurchase mandate utilisation: The buyback was executed under the mandate approved on 18 June 2026, which authorises repurchases of up to 47.22 million shares. The latest purchase represents 0.05% of the shares available under this mandate.
• Moratorium: In line with Hong Kong listing rules, RoboSense is restricted from issuing new shares or disposing of treasury shares until 22 July 2026.
The company confirmed that the repurchase complied with Main Board Rule 10.06(4)(a) and that there have been no material changes to the explanatory statement filed on 24 April 2026.
