SY Holdings plans fourth amended memorandum and articles to enable hybrid meetings and electronic share administration

SY Holdings Group Limited announced a proposal to adopt its Fourth Amended and Restated Memorandum and Articles of Association, aiming to modernise governance structures ahead of the 2026 annual general meeting scheduled for 29 May 2026.

Key revisions: • Alignment with updated Hong Kong Listing Rules covering electronic voting and electronic dissemination of corporate communications. • Introduction of hybrid and fully virtual general meetings, allowing shareholders to attend either physically or entirely online. • Provisions for holding repurchased shares as treasury shares. • Mechanisms to facilitate the holding, transfer and registration of shares or other prescribed securities in uncertificated form via electronic means. • Additional housekeeping amendments for clarity and consistency.

The amendments require shareholder approval by special resolution at the 2026 AGM. A detailed circular, including the full text of the proposed changes and the AGM notice, will be dispatched in accordance with listing regulations.

Board composition as of the announcement date is one Executive Director (Tung Chi Fung), one Non-Executive Director (Lo Wai Hung) and three Independent Non-Executive Directors (Tang King San Terence, Chan Yuk Ying Phyllis and Sun Wei Yung Kevin).
