Anhui Expressway unveils FY 2025 results, RMB 0.66 cash dividend and RMB 6 billion treasury agreement ahead of 26 June AGM

• Financial performance For the year ended 31 December 2025, Anhui Expressway reported revenue of RMB 6.72 billion and profit attributable to shareholders of RMB 1.88 billion. Core toll-road earnings improved after excluding construction-service revenue.

• Dividend proposal The Board recommends a final cash dividend of RMB 0.660 per share (tax inclusive), representing a 60.06 % payout of 2025 attributable profit. Record and payment dates for H-shares will be aligned with Hong Kong requirements; A-share arrangements will be announced separately.

• 2026 operating targets Management targets after-tax toll revenue of about RMB 5.06 billion and expects a slight rise in total operating costs. Key focuses include efficiency, digitalisation and risk control.

• Auditor re-appointment Ernst & Young Hua Ming LLP (PRC) and Ernst & Young (Hong Kong) are proposed for 2026, with an estimated combined audit fee of roughly RMB 2.29 million.

• Three-year Financial Services Agreement The Company signed a framework agreement with Anhui Transportation Finance on 27 March 2026: 1) Deposit Services – maximum daily balance capped at RMB 6 billion; interest rates not lower than PRC major banks. 2) Credit Facilities Services – credit line capped at RMB 6 billion; interest rates not higher than PRC major banks. 3) Settlement Services – free of charge. 4) Other Financial Services – annual fee cap of RMB 1 million. The agreement becomes effective upon independent shareholders’ approval and runs for three years.

• Internal controls Daily monitoring of deposit and credit balances, periodic risk assessments of Anhui Transportation Finance and benchmark pricing against at least three major PRC banks are specified.

• Board remuneration rules New Administrative Measures for Remuneration of Directors and Senior Management will be tabled for shareholder approval.

• Share-issue mandate The Board seeks a special resolution authorising issuance of up to 20 % of existing A-share and/or H-share capital during the mandate period.

• AGM details The 2025 AGM will be held at 2:30 p.m. on Friday, 26 June 2026 at the Company’s Hefei headquarters. Shareholders will vote on the above resolutions; Anhui Transportation Holding Group and its associates (holding 33.63 % of issued shares) will abstain from voting on the Financial Services Agreement.
