China Everbright Water Updates Memorandum and Bye-Laws at AGM

China Everbright Water Limited announced that its shareholders passed a special resolution on Apr, 22 2026 to adopt a revised Memorandum of Association and Bye-Laws.

The updated governing documents, first registered on Aug, 22 2003, were originally issued when the company was incorporated in Bermuda under the Companies Act 1981 as Bio-Treat Technology Limited. Key provisions include:

• Authorised share capital of HKD 100,000 divided into shares of HKD 0.50 each, with a minimum paid-up capital of HKD 100,000. • Powers for the company to issue redeemable preference shares and to repurchase its own shares in line with Bermuda law. • Flexibility to hold shareholder meetings in physical, hybrid or fully virtual formats, with electronic voting permitted. • Detailed rules on directors’ appointments, retirements, remuneration and powers, including authority to issue new shares up to 50 % of issued capital, subject to shareholder approval. • Provisions allowing electronic communication of notices and documents to shareholders.

The company stated that the amended charter and bye-laws take immediate effect following shareholder approval.
