Beijing Sports and Entertainment Industry Group Limited (BJ SPORTS & ENT) has convened its 2026 Annual General Meeting (AGM) for 10:30 a.m. on 4 June 2026 in the Meeting Room, Unit 1101, 11/F, Standard Chartered Bank Building, 4-4A Des Voeux Road Central, Hong Kong.

Key ordinary resolutions will ask shareholders to:

• adopt the audited consolidated financial statements for the year ended 31 December 2025 and the accompanying directors’ and auditors’ reports; • re-elect four retiring directors—Mr. Lam Ka Tak and Mr. Zhang Su as executive directors, Ms. Hu Yi Na as a non-executive director and Mr. Pan Lihui as an independent non-executive director; • authorise the Board to set directors’ remuneration; and • re-appoint Moore CPA Limited as the Company’s auditors with the Board authorised to fix their remuneration.

Shareholders will also vote on refreshed share authorities. The Board seeks a general mandate to repurchase up to 10% of the Company’s issued shares during the mandate period, and a separate mandate to issue new shares representing up to 20% of the issued share capital, with an additional extension permitting an increase equivalent to the shares repurchased under the buy-back mandate.

A special resolution proposes comprehensive amendments to, and adoption of, a third amended and restated Memorandum and Articles of Association. The changes aim to incorporate updates detailed in the circular dated 27 April 2026.

The register of members will be closed from 1 June 2026 to 4 June 2026 (both days inclusive). Shareholders recorded on 4 June 2026 will be eligible to attend and vote. Proxy forms must be lodged with Tricor Investor Services Limited no later than 48 hours before the meeting. All resolutions will be decided by poll, with results published in accordance with Hong Kong listing rules.
