Privatisation Update: Morgan Stanley Unit Reports Zero-Balance Derivative Trades in ENN Natural Gas

Hong Kong’s Takeovers Executive has received a Rule 22 disclosure showing that Morgan Stanley Capital Services LLC, classified as a Class (5) associate of the offeror in the ongoing privatisation of ENN Natural Gas Co., Ltd., executed offsetting derivative transactions in the target’s A shares.

On 29 May 2026 the firm conducted unsolicited client-facilitation trades for its own account: • Purchase of 300 A shares via “other” derivative products maturing on 31 March 2027 at RMB 19.4567 per share, for a consideration of RMB 5,837.01. • Sale of an identical 300-share position under the same derivative structure, price and value on the same day.

The back-to-back transactions leave Morgan Stanley Capital Services LLC with a resultant balance of zero ENN Natural Gas shares linked to the disclosed derivatives.

Morgan Stanley Capital Services LLC is ultimately owned by Morgan Stanley. The disclosure forms part of the public record for the proposed scheme-of-arrangement privatisation of ENN Natural Gas.
