First Service AGM Clears All Items; Board Re-elected, KPMG Re-appointed and 20% Share Issue Mandate Secured

First Service Holding Limited held its Annual General Meeting (AGM) on 23 June 2026, where all resolutions were approved by poll, reinforcing shareholder support for the group’s strategic and governance agenda.

Key Outcomes 1. Financial Statements Adopted • The audited consolidated financial statements for the year ended 31 December 2025, together with the directors’ and auditor’s reports, were adopted with 196.80 million votes in favour, representing 100.00 % of votes cast.

2. Board Composition Unchanged • Re-elected: Mr Wang Song (Executive Director), Mr Zhang Peng (Non-executive Director), Ms Sun Jing (Independent Non-executive Director) and Mr Cheng Peng (Independent Non-executive Director). • Director remuneration remains under the Board’s purview following unanimous approval.

3. Auditor Re-appointment • KPMG was re-appointed as external auditor, with remuneration to be determined by the Board; the resolution secured 100.00 % support.

4. Capital Management Authorities • Share issuance mandate: Directors authorised to allot, issue or transfer up to 20 % of issued shares (excluding treasury shares). Support: 98.78 % (194.39 million votes). • Share buy-back mandate: Authority to repurchase up to 10 % of issued shares passed with 100.00 % support. • Extension mandate: Approval to extend the issuance limit by the amount of repurchased shares received 98.78 % support.

5. Constitutional Update • Shareholders approved, with 100.00 % support, amendments leading to the adoption of the Fourth Amended and Restated Memorandum and Articles of Association.

Voting Participation and Scrutiny • Total shares in issue: 1.26 billion. • Votes cast: 196.80 million, equivalent to roughly 15.57 % of total shares outstanding. • Bank of Communications Trustee Limited, holding 62.38 million unvested shares (4.9 % of issued share capital) under the 2021 share award scheme, abstained from all resolutions. • Tricor Investor Services Limited acted as the scrutineer for the poll.

All directors—comprising three executive, three non-executive and three independent non-executive members—attended the AGM either in person or via electronic means.
