Yibin City Commercial Bank Co., Ltd. (Yibin Bank) reported that every one of the ten resolutions tabled at its 2025 Annual General Meeting (AGM) on 25 June 2026 was approved by poll with 100% of the votes cast.
• Shareholder participation and voting A total of 210 shareholders or proxies, holding 3.30 billion voting shares, attended the AGM—equivalent to 73.92% of shares with voting rights and 72.02% of the 4.59 billion issued shares. All 3.30 billion votes were cast in favour of each resolution, with zero votes against or abstaining.
• Dividend payout The meeting authorised a cash dividend of RMB0.0356 per share (tax inclusive). The dividend will be paid: – Record date: 7 July 2026 – Payment date: on or before 25 August 2026 Domestic shareholders will receive the dividend in Renminbi. H-shareholders will be paid HK$0.040934 per share, based on an exchange rate of HK$1 = RMB0.86969 (five-day average central parity rate prior to the AGM).
• Board renewal Shareholders elected the fifth Board of Directors, comprising: – Executive Directors: Xue Feng, Guo Hua – Non-executive Directors: Zhang Xin, Liu Kelin, Huang Chongying, Luo Xixiao, Zhang Fan – Independent Non-executive Directors: Yao Liming, Yu Xiaoran, Xing Huayu, Zhao Jingmei, Zhong Chaohong – Employee Director: Tian Yongchun
The new Board’s term will commence once the national financial regulator approves Directors’ qualifications, with the outgoing Board and senior management continuing in their roles until that time.
• Other AGM approvals Shareholders endorsed the 2025 Annual Report, Board and Supervisory Board work reports, final accounts and budget execution, the 2025 profit distribution plan, the 2026 work plan and budget, appointment of the 2026 external auditors, and amendments to the Directors Nomination and Election Measures.
• Capital structure snapshot Issued shares: 4.59 billion, comprising 688.40 million H shares and 3.90 billion domestic shares. Of these, 4.47 billion shares were eligible to vote at the AGM.
All resolutions passed exceed the simple-majority threshold for ordinary resolutions and the two-thirds threshold for special resolutions, underscoring decisive shareholder support for Yibin Bank’s governance agenda and capital return policy.
