HORIZON CD Maintains 5.00 b Authorised Shares; No Issuance or Treasury Movements in July 2026

HORIZON Construction Development Limited (HORIZON CD) filed its monthly return for the period ended 31 July 2026, confirming that both authorised and issued share capital remained unchanged during the month.

The authorised share structure stayed at 5.00 billion ordinary shares with a par value of USD 0.00002 each, equivalent to total authorised capital of USD 100,000.

Issued share capital also held steady at 3.20 billion ordinary shares, and the company reported zero treasury shares, implying no repurchases or cancellations.

Public-float compliance was reaffirmed: the free-float level continues to exceed the 21.8 % minimum prescribed at listing, satisfying Hong Kong Stock Exchange requirements.

Share-option activity was limited to lapses. Under the scheme granted on 8 July 2024 (exercise price HKD 1.45), 2.80 million options lapsed, leaving 3.10 million outstanding. The second scheme granted on 8 August 2025 (exercise price HKD 1.34) remained unchanged at 8.23 million outstanding options. No shares were issued and no funds were raised from option exercises during the month.

The issuer confirmed it has no outstanding warrants, convertibles, or other equity-linked instruments, and reported no other share capital movements for July 2026.
